Terms of Service
The agreement between you and Unheld. Please read section 3 in particular — it explains what non-custodial means for your responsibilities.

1. Who these terms are with
Unheld is operated by Ben Daamar Mohamed, based in Abu Dhabi Global Market (ADGM), Abu Dhabi, United Arab Emirates. Unheld Ltd is currently being incorporated with the Abu Dhabi Global Market (ADGM) Registration Authority; this page will be updated with the registered entity details once formation completes.
"We" and "Unheld" mean that operator. "You" means the person or business using the service. By creating an account you agree to these terms.
2. What the service is
Unheld is software that lets a merchant accept cryptocurrency payments directly into wallets the merchant controls. We provide invoice creation, payment links, checkout components, blockchain monitoring, webhook notifications, and a REST API.
We are a technology provider. We do not take deposits, hold client money, exchange currency, transmit funds, or act as an intermediary in any payment.
3. Non-custodial — what this means for you
Payments settle from your customer to your wallet, directly on a public blockchain. Funds never pass through us and never sit in an account we control.
Consequences you must accept before using the service:
- Your recovery phrase is your responsibility. It is generated in your browser and never transmitted to us. We cannot recover it, reset it, or help you regain access. If you lose it, your funds are permanently unreachable — by you and by everyone.
- Blockchain transactions are irreversible. There is no chargeback, reversal, or cancellation once a transaction confirms. We cannot undo a payment sent to a wrong address or in a wrong amount.
- You control the receiving addresses. If you supply an incorrect address or xpub, payments will go where you directed them.
4. Your obligations
- Provide accurate account information and keep it current.
- Keep your credentials, API keys, and webhook signing secrets confidential. Enable two-factor authentication.
- Verify webhook signatures before acting on a notification.
- Comply with the laws applying to your business, including tax, anti-money-laundering, sanctions, and consumer protection obligations in your own jurisdiction.
- Be truthful with your own customers about what they are paying for and in what asset.
5. Prohibited use
You may not use Unheld to:
- Facilitate money laundering, terrorist financing, or sanctions evasion.
- Sell goods or services that are illegal where you or your customers are located.
- Operate a Ponzi, pyramid, or other scheme that misrepresents returns.
- Deceive your customers about the identity of the merchant or the nature of the transaction.
- Attack, overload, or attempt to gain unauthorised access to the service or another merchant's data.
- Resell or white-label the service as your own without a written agreement.
We may suspend or terminate an account we reasonably believe is being used for any of the above. Because we hold no funds, suspension affects your access to the software only — it cannot and does not freeze money.
6. Fees
Unheld charges a flat subscription based on capacity. We do not take a percentage of your payments and we never deduct anything from a transaction — architecturally we could not, since funds do not pass through us. Current pricing is shown on the site and in your dashboard. We will give at least 30 days' notice by email before a price change affects you.
7. Availability
We aim for high availability but do not guarantee uninterrupted service during beta. Blockchain networks, node providers, and block explorers are outside our control, and payment detection depends on them. Scheduled maintenance will be announced where practical.
8. Liability
The service is provided "as is". To the fullest extent permitted by law we exclude implied warranties of merchantability and fitness for a particular purpose.
We are not liable for:
- Loss of a recovery phrase or private key, or funds made unreachable by that loss.
- Payments sent to an address you configured incorrectly.
- Changes in the market value of any cryptocurrency.
- Failures of a blockchain network, node provider, or block explorer.
- Losses arising from your failure to verify webhook signatures or to secure your credentials.
Where liability cannot lawfully be excluded, our total liability in any twelve month period is limited to the fees you paid us in that period. Nothing here excludes liability for fraud or for anything that cannot be limited by law.
9. Termination
You may close your account at any time; your wallets and funds are unaffected, because we never held them. We may terminate for breach of these terms, or on 30 days' notice for any other reason. On termination you keep access to your funds — they were always in your wallet — and we handle your data as described in thePrivacy Policy.
10. Governing law
These terms are governed by the laws of Abu Dhabi Global Market (ADGM). Any dispute is subject to the exclusive jurisdiction of the ADGM Courts.
